Job Purpose
General Manager Legal Services &amp; Corporation Secretary and shall be responsible for the provision of Board secretariat services, Legal advice, Litigation Management, Regulatory Compliance, contract and Lease preparation, custody of all Corporation Tittle deeds and Logbooks, insurance Management and the implementation of good Corporate Governance [circular from Attorney General on taking of legal matters in court] Articles of association, the State Corporation’s Act, and Mwongozo Code of Governance for State Corporations 2015.
Duties and Responsibilities
<ul>
<li>Providing guidance to the Board on their duties and responsibilities and on matters of Corporate Management.</li>
<li>Keeping custody of the Board’s seal, Board Committee documents contracts, agreements and other documents.</li>
<li>Providing advice on legal and corporate matters to the Board through interpretation and writing legal opinions.</li>
<li>Inducting, training and updating the Board and Committee charters, preparing Board work plans, Board evaluation, governance audit, and implementation of the code of conduct and ethics.</li>
<li>Ensuring timely preparation and circulation of Board and Committee papers and minutes.</li>
<li>Custodian of the seal of the organization and account to the Board for its use;</li>
<li>Maintaining and updating the register of conflicts of interest.</li>
<li>Ensuring Board members are aware of all relevant laws affecting the organization;</li>
<li>Ensuring legal compliance to legislative provisions and regulations.</li>
<li>Developing legal strategies aimed at forestalling disputes, controversies and litigation.</li>
<li>Conducting legal research and representing the Board in litigation and various legal matters;</li>
<li>Liaising with external lawyers on court matters; drafting legal documents, leases and contracts.</li>
<li>Liaising with the Attorney General, law enforcement agencies and stakeholders on all legal matters.</li>
<li>Ensuring annual returns are promptly filed with the relevant authorities.</li>
<li>Ensuring that Legal Audit Compliance is carried out to confirm compliance with relevant statutory requirements.</li>
<li>Overseeing the implementation of Mwongozo, Code of Conduct at the Corporations; and</li>
<li>Ensure that Corporation Insurance cover is legally adequate and terms and conditions are complied with</li>
</ul>
Requirements for Appointment
<ul>
<li>A minimum period of twelve (12) years relevant work experience, five (5) years of which must be in Senior Management.</li>
<li>Bachelor’s degree in Law from a recognized University.</li>
<li>Master’s Degree in Law (LLM) or any other relevant field.</li>
<li>An advocate of the High Court of Kenya.</li>
<li>Hold a valid Practicing Certificate.</li>
<li>Postgraduate Diploma Kenya School of Law.</li>
<li>Member of the Law Society of Kenya (LSK).</li>
<li>Certified Public Secretary (CPSK).</li>
<li>Be a member of the Institute of Certified Secretaries of Kenya in good standing;</li>
<li>Certificate in Corporate Governance from a recognized institution.</li>
<li>Leadership course lasting not less than four (4) weeks from a recognized institution.</li>
<li>Proficiency in computer applications.</li>
<li>Fulfill the requirements of Chapter Six (6) of the Constitution of Kenya 2010</li>

General Manager - Legal Services & Corporation Secretary

Duties and Responsibilities
<ul>
<li>Draw contracts, agreements, leases, and other legal instruments.</li>
<li>Ensure the corporation is represented in court as necessary.</li>
<li>Conduct internal training on legal aspects of PCK.</li>
<li>Oversee preparation of budgets and ensure effective controls.</li>
<li>Monitor parliamentary legislation, and interpret it for the corporation.</li>
<li>Liaise with external lawyers in execution of the corporation’s instructions</li>
<li>Provide legal advice to the Corporation.</li>
<li>Prepare legal reports and opinion on matters involving PCK.</li>
<li>Liaise with other departments on handling legal matters affecting the corporation.</li>
<li>Ensure that the Corporations property is insured.</li>
<li>Undertake any other duties assigned by the Corporation Secretary.</li>
</ul>
Requirements for Appointment

<li>Bachelor’s degree in Law from a recognized University.</li>

<li>Master’s Degree in Law (LLM) or any other relevant field.</li>

Assistant Manager - Legal Services

Duties and Responsibilities (a) Job Objective
Development and implementation of Agency banking services (b) Duties and responsibilities 1. Responsible for managing the credit card and merchant services products, operations and related functions 2. Managing the card operation cycle and reconciliation processes effectively to ensure proper settlements. 3. Management of both the front office and back office for card business for merchant services and the Posta cash card. 4. Management of the card centre call centre for complaints management from customers. 5. Acquiring and support services in card business which involves ordering procurement of cards and point of sale equipment installation maintenance of some. 6. Overseeing card operations centre with other switch partners which includes the acquiring, co-branding of cards, settlements, PIN management, with local and international switch organizations. 7. Responsible for operational risk and compliance in card business in liaison with relevant regulatory agencies and stake holders for risks in the business and forensic issues plus generation of reports for same. 8. Responsible for establishment of relevant submits in the section in line with the best practices in card business industry and training of staff to undertake tasks. 9. Play a lead role in all card related system testing for all enhancements and new systems. 10. Ensure cards policies are complied in liaison with audit and Risk management department with a view to eliminate fraud losses. 11. Manage the end to end card production process which involves the delivery of the card to the customer. 12. Develops and maintains marketing materials for Credit Card Services products. 13. Manages productivity, and provides coaching, to all staff in the Credit Card Services department. (c) Requirements for Appointment
(i) Bachelor’s degree in Business, Finance, Accounting, Economics or equivalent; (ii) Post-graduate Diploma in Business related field (iii) Relevant Master’s Degree is an added advantage (iv) 5 years’ experience in Banking (v) Membership of relevant professional body; (vi) Proficiency in computer applications;
